The Executive Offices - Terms & Conditions

The following is a legal agreement between you or the employer or other entity on whose behalf you are entering into this agreement ("you") and The Trustees of CEO Group Holdings Trust (The Executive Offices). Please read this agreement carefully before purchasing any The Executive Offices. By purchasing The Executive Offices services, you agree to be bound by the terms of this agreement, The Executive Offices Privacy Statement and The Executive Offices's Website Terms of Use, which documents are incorporated herein and made a part hereof by this reference. The Executive Offices reserves the right to change any of the terms of this agreement at any time, and you agree to be bound by such changes. If and when changes are made to these Terms and Conditions you will be notified within 7 days. Please make sure that you read and understand all such changes. If you do not agree to these Terms of Service, as same, may be amended from time to time, do not purchase any services.
DEFINITIONS: "The Executive Offices" means The Trustees of CEO Group Holdings Trust t/a The Executive Offices and includes its successors and assigns, employees and anyone authorised by The Executive Offices. "LICENSEE" means the party set out in the Licence Confirmation Form. "VIRTUAL OFFICE" means provision of all or some of the following as set out in package descriptions to be provided during The Executive Offices's regular business hours; reception, unlimited incoming telephone answering, mail handling, secretarial services and use of meeting and board rooms. The Executive Offices reserves the right to not accept any unlawful items and packages.

LICENCE & DELIVERY: The Executive Offices grants to the Licensee a Licence to a Virtual Office package as selected by Licensee and described in the Licence Confirmation Form for the term described therein; licences will be upgraded without notice should you utilise services not included as described in the Licence Confirmation From. The term and delivery commences on the date set out in the Licence Confirmation Form. The Executive Offices requires 100 points of identification from the Licensee within 24 hours of joining to complete the Licence. The Executive Offices reserves the right to reject applications for Licence should proof of identity not be provided within this time.

CONDITIONS OF SERVICE: The Licensee acknowledges that The Executive Offices owns all postal addresses, telephone numbers and I.P. addresses issued to Licensee for use during the term of this Licence. Once the Licence has been terminated the Licensee is to cease the continuing use of said details and removing from all websites, business cards and marketing materials. Should all fees not be paid by the due date, the licence fee will be considered as terminated.

FEE: The Executive Offices's licence fee billing cycle is from the 1st to the 31st of each month; pro-rata adjustments apply for part thereof in respect to commencement dates. The Licence fee set out in the Licence Confirmation Form shall be paid monthly in advance of each month by the 1st day of each month where a pre-paid term is not in play.

SECURITY DEPOSIT: The Licensee must pay the security deposit set out in the Licence Confirmation Form upon signing this Licence. If the Licensee fails to pay all monies owed, The Executive Offices may apply all or part of the security deposit as in its opinion is necessary to repay all monies owing under the licence.

SECURITY DEPOSIT REFUND: The security deposit will be repaid to the Licensee, by cheque, 60 days after the final invoice has been settled. If the Licensee fails to provide an address for which the Security Deposit can be returned to within 360 days of the date upon which the final invoice must be settled, the security deposit shall be forfeited.

PAYMENT OF FEES: The Executive Offices will provide the services set out in the Licence Confirmation Form and the signed Reception Questionnaire. The Licensee must pay the charges for services provided or as varied and documented by The Executive Offices in its absolute discretion and is to be paid by the first day of each month by credit card or direct draw down. Payment by credit card will incur a 4% surcharge for MasterCard, Visa and American Express. Licensee will be liable for any dishonour fees.

SECURITY OF PAYMENT AUTHORITY DETAILS: Payment authority details are fully secure at all times. NAB Transact secures your private information with a full 128-bit SSL security certificate. To protect cardholder data, NAB Transact complies with the Payment Card Industry Data Security Standard (PCI DSS). The PCI DSS is the global data security standard that any business of any size must adhere to in order to accept payment cards.

PENALTY INTEREST: Without prejudice to any other rights of The Executive Offices under this Licence, the Licensee will pay interest at the rate of 20% per annum on any money due and unpaid, from the due date for payment until payment is made.

REFUNDS & RETURNS: The Executive Offices will assess your claim within 7 days. If the claim is approved, a credit will be passed on the next invoice.

INCREASES: The Executive Offices may at any time, in its absolute discretion, vary the charges for services upon giving the Licensee one week's written notice of such change.

DEFAULT: The Licensee will be deemed to be in default of the Licence if the Licensee fails to pay all monies due to The Executive Offices under this Licence within seven days by the due date, without any demand being necessary.

TERMINATION: For services that run monthly, two months notice in writing is required by either party to terminate the Licence. Notice by the Licensee must be given by the 1st day of any given month. For services that have been paid in advance and run on a minimum term, one month's notice in writing is required by either party to terminate the Licence. Notice by the Licensee must be given by the 1st day of any given month; if notice is given before the minimum term is served the Licensee forfeits the remainder of the pre paid term however the security deposit will continue to be refunded provided no outstanding amounts are owed to The Executive Offices. In instances where notice to terminate or notice to extend are not given to The Executive Offices, the Licensee will roll over to the current monthly fee for the service set out in the Licence. If required, security deposits will be increased to reflect the Licence Fee. The Executive Offices reserves the right to immediately terminate the Licence and services if the Licence fee remains unpaid and in the reasonable opinion of The Executive Offices, the Licensee is unable to pay its debts as they fall due, OR if fraudulent details or documentation have been provided to The Executive Offices by the Licensee or the Virtual Office is used for illegal purposes.

INDEMITY: In the event The Executive Offices, owing to factors beyond its control, is unable to provide any of the additional services (described in the Schedule of Costs) for a period of term, including services provided by a third party, the Licensee waives any right to claim damages or consequential damages as a result of loss of profits. The Executive Offices shall also be indemnified against any loss, damage or corruption of data. This extends to any errors made by The Executive Offices staff.

STAFF: If the Licensee or any person or other entity associated with the Licensee at any time during the term of the Licence, or within a further 12 months after the expiry of the Licence employs any The Executive Offices staff member; or induces any The Executive Offices staff member to breach their contract of employment, the Licensee will pay The Executive Offices by way of an introduction service fee, an amount equal to 25% of the new net annual salary of the The Executive Offices staff member whether employed full-time, part-time or casually. This amount must be paid to The Executive Offices upon the staff member's commencement of employment with the Licensee. Licensee or associated entity includes any relative of the Licensee or a company, partnership or trust of which the Licensee or its relative either solely or jointly with any other person is a principal, agent, director, office, employee, shareholder, partner, joint venture member, beneficiary or trustee.

GUARANTOR: If the Licensee is a company not listed on a recognised stock exchange, all the directors of the Licensee must upon execution; execute a Guarantee and Indemnity Form. All executors will be liable for the Licence should The Executive Offices be unable to communicate with the Licensee.

GST: All prices quoted are exclusive of any government taxes where allowed by law.
